Terms of Service

This CareTube Terms of Service Agreement (the “Agreement” or “Terms of Service”) is entered into by and between Life Circle Health Services Pvt Ltd, with its registered office at B-17, 4th Floor, Jungapura Extension, New Delhi – 14, India, (referred to as “CareTube,” “we,” “us,” or “our”) and you, the user of our services (“you” or “your”). This Agreement governs your use of the CareTube websites, mobile applications, and embeddable video players (collectively the “Services”).

By accessing or using any part of the Services, you agree to be bound by the terms of this Agreement. If you do not agree to these Terms of Service, do not access or use the Services.

 1. Acceptance of Terms

1.1 Agreement to Terms: 

By creating an account, uploading videos, viewing content,  making purchases, downloading software, or otherwise using our Services, you accept these Terms of Service and agree to contract with us electronically.

1.2 Legal Authority: 

If you are using the Services on behalf of an entity (e.g., a business or organization), you represent and warrant that you have the authority to bind that entity to this Agreement. In this context, “you” refers both to the entity and each person who is authorized to use the Services on the entity’s behalf.

1.3 Updates to Terms: 

We reserve the right to modify these Terms of Service at any time by posting a revised version on our website or within the CareTube app. We will notify you of significant changes via email or through the app. By continuing to use our Services after any such modifications, you agree to be bound by the revised Agreement.

1.4 Additional Terms: 

This Agreement includes our Privacy Policy, Copyright Policy, and any other addenda that may be incorporated by reference. Please review these documents to understand your rights and obligations.

 2. Our Services

2.1 License to Use: 

Subject to your compliance with these Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services, which include but are not limited to:

– Streaming: You may stream videos that you are authorized to view through the CareTube platform.

– Uploading and Storing Content: Depending on your subscription plan, you may upload, store, and/or live stream video content.

– Additional Features: You may use other features provided by CareTube, such as video editing tools, depending on your subscription level.

2.2 Plan-Specific Features: 

Certain features are only available with specific subscription plans. These features may vary based on your location, and we reserve the right to modify or discontinue certain features at our discretion.

2.3 Downloadable Software: 

We may offer mobile and desktop applications (collectively, “Apps”) through various platforms, including third-party app stores. We grant you a limited, non-exclusive, non-transferable, revocable license to download and use these Apps on your personal devices. You are responsible for ensuring that you are using the most current version of the Apps compatible with your device.

2.4 Beta Services: 

From time to time, we may offer access to beta or experimental features (collectively, “Beta Services”). These Beta Services are offered on an “as-is” basis and may be modified or discontinued without notice. By using Beta Services, you acknowledge that they may contain bugs or errors and that we may collect feedback from you to improve them.

2.5 Third-Party Links and Services: 

Our Services may contain links to or integrate with third-party websites, applications, or services that are not owned or controlled by CareTube. We are not responsible for the content, privacy policies, or practices of these third-party services, and your use of them is subject to their own terms and conditions.

 3. Accounts

3.1 Registration: 

To use certain features of our Services (e.g., uploading or live streaming videos), you must create an account by providing a valid email address. By creating an account, you agree to receive electronic communications from us at that email address. You are responsible for ensuring that your email address is valid and current at all times.

3.2 Organizational Accounts: 

If you are using the Services on behalf of a business, government agency, or other organization, the legal name of the entity must be publicly displayed on the account profile. Each account is for a single user or organization, and login credentials may not be shared with others.

3.3 Age Requirements: 

You must be at least 16 years old to create an account. If you are under the age of majority in your jurisdiction (usually 18 years old), you may only use the Services under the supervision of a parent or legal guardian who agrees to these Terms of Service. The parent or guardian is responsible for all activity that occurs under the account.

3.4 Account Security: 

You are responsible for maintaining the confidentiality of your account credentials, including your password. You may not share your account credentials with others. If you become aware of unauthorized access to your account, you must notify us immediately and change your password. You are responsible for all activity that occurs under your account, whether or not you authorized it.

4. Subscription Plans 

4.1 Plan Types: 
We offer both free and paid subscription plans. Free plans allow you to access basic features, while paid plans offer additional features such as downloadable videos, ad-free content, and more.

4.2 Fees: 
You agree to pay all applicable fees (plus any taxes) associated with your subscription plan during the subscription period and any renewal periods. Fees may include a fixed monthly or annual fee, as well as variable fees based on your usage. We may adjust fees from time to time, and we will attempt to notify you in advance of any fee changes before your next billing cycle.

4.3 Payment Method:
By providing payment information, you authorize CareTube to charge your designated payment method for all applicable fees. If payment cannot be completed through your designated method, we may attempt to collect payment from any other payment method you have saved in your account. You may revoke this authorization at any time by removing a payment method from your account. You agree not to dispute CareTube’s recurring transactions with your bank provided the transactions were made in accordance with this Agreement.

4.4 Free Trials and Discounts: 
We may offer free trials or discounted subscriptions. When a free trial period ends, your paid subscription begins unless you cancel before the trial ends. If you receive a discount on your initial subscription period, you will be charged the full subscription fee upon renewal.

4.5 Refund Policy: 
If you purchase a subscription directly from CareTube, you may be eligible for a refund within 14 days of purchasing an annual plan or within 3 days of purchasing a monthly plan. Refund requests must be made within the applicable period. Our refund policy does not apply to in-app purchases, fees charged after a free trial ends, or subscription renewals.

4.6 Automatic Renewal: 
All subscription plans renew automatically at the end of each billing period unless canceled at least one day before the renewal date. Monthly plans renew for 30 days, and annual plans renew for one year. You are responsible for all applicable fees upon renewal.

4.7 Cancellation and Downgrade: 
You may cancel or downgrade your subscription at any time in your Billing Settings. Cancelation or downgrade will take effect at the end of the current billing period. CareTube reserves the right to decline renewals or terminate your subscription at our discretion.

4.8 Account Status After Cancellation: 
When your subscription ends, your account may revert to a free membership or be deleted. If reverted, any content exceeding the limits of a free account may be deleted. You are responsible for backing up your content before canceling your subscription.
4.9 In-App Purchases: 
If you purchase subscriptions through in-app purchases, you will be billed by the app platform, not CareTube. Our refund policy does not apply to in-app purchases, and any billing inquiries should be directed to the app platform.

4.10 Resale: 
You may not sell, resell, rent, lease, or distribute any subscription plan or any aspect of our Services to any third party without our written authorization. We reserve the right to suspend or terminate accounts involved in unauthorized resales.

  5. Acceptable Use Policy

We may allow you to create, upload, live stream, submit, or publish content through our Services. You are responsible for ensuring that your content and your conduct comply with this Acceptable Use Policy.

5.1 Content Restrictions: 

You may not submit content that:

– Infringes on any third party’s intellectual property rights, privacy rights, or other legal rights;

– Is sexually explicit, obscene, defamatory, harassing, or abusive;

– Promotes hate speech, violence, or discrimination against any group or individual;

– Supports or promotes fraudulent schemes or illegal activities;

– Contains false or misleading information about health, safety, voting, or other matters of public concern;

– Depicts unlawful activities, such as violence or cruelty toward animals;

– Contains malware, viruses, or other harmful code;

– Violates any applicable law.

5.2 Code of Conduct: 

When using our Services, you agree not to:

– Use an offensive screen name or profile picture;

– Engage in deceptive practices or impersonate others;

– Harass, stalk, or harm other users;

– Exploit or endanger minors;

– Engage in unauthorized data collection or harvesting;

– Misuse any reporting or flagging process;

– Engage in any other unlawful or prohibited activities.

5.3 Prohibited Technical Measures: 

You may not:

– Reverse engineer, decompile, or disassemble any part of our Services;

– Use automated means (e.g., bots, scrapers) to access our Services, except as permitted by our API License;

– Attempt to circumvent security measures or access restrictions;

– Submit malicious code or overload our servers with excessive requests;

– Remove or modify any copyright notices, logos, or proprietary markings from the Services.

5.4 Reporting Violations: 

If you encounter any content or conduct that violates these Terms of Service, you may report it to us at support@lifecircle.in. We reserve the right to remove or limit access to any content or account that we, in good faith, believe violates this policy.

 6. Licenses Granted by You

6.1 Your Content: 

By submitting content to CareTube, you grant us a non-exclusive, worldwide, royalty-free license to:

– Stream and distribute your content to end users;

– Embed your content on third-party websites;

– Transcode your content for optimized streaming;

– Generate stills or thumbnails from your content;

– Generate captions, summaries, and chapters from your content;

– Make your content available for download by authorized users.

This license remains in effect until you or CareTube delete the content. However, CareTube may retain archival copies for a limited period for legal or backup purposes.

6.2 Your Account Profile: 

You grant CareTube permission to use your name, likeness, biography, trademarks, logos, or other identifiers from your account profile for public display or marketing purposes.

6.3 Feedback: 

You may provide feedback or suggestions regarding our Services. You grant CareTube a perpetual, irrevocable license to use this feedback in any way without compensation to you.

6.4 Scope of Licenses: 

All licenses granted to CareTube are non-exclusive, worldwide, royalty-free, and include the rights necessary for us to fulfill our obligations. By granting these licenses, you waive any “moral rights” you may have in the content.

 7. Your Obligations

7.1 Representations and Warranties: 

For each piece of content you submit to CareTube, you represent and warrant that:

– You have the legal right to submit the content and grant the licenses mentioned in Section 6;

– CareTube will not need to obtain additional licenses or pay royalties to any third party to use your content;

– You have obtained all necessary releases and permissions from any individuals appearing in your content;

– Your content does not infringe on any third party’s rights or violate any applicable laws.

7.2 Indemnification: 

You agree to indemnify and hold harmless CareTube, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or related to your content, your use of the Services, or your violation of this Agreement.

 8. Term and Termination

8.1 Term: 

This Agreement remains in effect as long as you use our Services or maintain an account with us. Paid accounts will continue for the subscription period and will renew in accordance with Section 4. Free users or those without subscriptions may terminate their accounts at any time by deleting them.

8.2 Termination by CareTube: 

If you breach this Agreement, CareTube may, at its discretion:

– Terminate this Agreement and your access to the Services immediately;

– Suspend or delete your account or restrict access to your content;
– Retain any payments owed to you as damages for the breach.

8.3 Survival: 

Upon termination or expiration of this Agreement, Sections related to Feedback (6.4), Indemnification (7.2), Disclaimers (9), Limitation of Liability (10), and Disputes (11) will survive.

 9. Disclaimers

9.1 “As Is” Basis: 

CareTube provides the Services on an “as is” and “as available” basis. You use the Services at your own risk. You are responsible for providing your own device and internet access.

9.2 No Warranties: 

To the extent permitted by law, CareTube disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be available, secure, uninterrupted, or error-free.

9.3 Third-Party Content: 

We make no representations or warranties regarding content submitted by users or any third-party websites linked to or integrated with our Services.

 10. Limitation of Liability

10.1 Limitation on Damages: 

To the extent permitted by law, CareTube shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for lost profits, business interruption, or loss of data, even if CareTube has been advised of the possibility of such damages.

10.2 Maximum Liability: 

In any event, CareTube’s total liability to you shall not exceed the greater of the amounts paid by you to CareTube over the 12 months preceding your claim(s) or INR 1,000.

 11. Disputes, Arbitration, Class Action Waiver, and Choice of Law

11.1 Choice of Law: 

This Agreement and any disputes arising out of or related to it shall be governed by the laws of Delhi, India, without regard to its conflict of law principles.

11.2 Arbitration Agreement: 

Any disputes, claims, or controversies arising out of or related to this Agreement or your use of the Services shall be resolved through binding individual arbitration in accordance with the rules of the National Arbitration & Mediation (NAM).

11.3 Waiver of Class Action: 

You and CareTube agree that all disputes will be resolved on an individual basis and not on a class, collective, or representative basis. You waive your right to participate in any class action lawsuit against CareTube.

11.4 Pre-Arbitration Dispute Resolution: 

Before initiating arbitration, the party seeking relief must notify the other party in writing and participate in an informal dispute resolution conference.

11.5 Opt-Out: 

You have the right to opt out of the Arbitration Agreement by sending written notice to support@lifecircle.in  within 30 days of first accepting these terms.

 12. General Provisions

12.1 Reservation of Rights: 

CareTube reserves all rights not expressly granted in this Agreement.

12.2 Force Majeure: 

CareTube will not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, pandemics, acts of war, or government actions.

12.3 Relationship: 

This Agreement does not create any agency, partnership, joint venture, employment, or franchise relationship between you and CareTube.

12.4 Assignment: 

You may not assign or transfer this Agreement or any rights under it without our prior written consent. We may assign this Agreement at any time without notice or consent.

12.5 Entire Agreement: 

This Agreement constitutes the entire understanding between you and CareTube regarding the Services and supersedes all prior agreements or understandings.

12.6 Notices: 

Legal notices must be sent to CareTube at support@lifecircle.in. Any notices to you will be sent to the email address associated with your account.

By using CareTube, you acknowledge that you have read, understood, and agree to these Terms of Service.
